EULA - End User License Agreement

License Agreement
for Advanced Find and Replace of Abacre Limited.

You should carefully read the following terms and conditions
before using this software. Your use of this software indicates your
acceptance of this license agreement and warranty.

Definitions
-----------------------------------------------------------------------
"Software" means (a) all of the contents of the files,
disk(s), CD-ROM(s) or other media with which this Agreement is
provided, including but not limited to (i) Abacre or third party
computer information or software; (ii) digital images, stock
photographs, clip art, sounds or other artistic works ("Stock Files");
(iii) related explanatory written materials or files
("Documentation"); and (iv) fonts; and (b) upgrades, modified
versions, updates, additions, and copies of the Software, if any,
licensed to you by Abacre (collectively, "Updates"). "Use", "Used" or
"Using" means to access, install, download, copy or otherwise benefit
from using the functionality of the Software in accordance with the
Documentation. "Computer" means one central processing unit (CPU) that
accepts information in digital or similar form and manipulates it for
a specific result based on a sequence of instructions. "Abacre" means
Abacre Limited, a Russian company, having registered office:
Savushkina d 9, lit A, pom 5N, 197183 St. Petersburg, Russian Federation.

Types of licenses
-----------------------------------------------------------------------
There are 4 basic types of licenses issued for Advanced Find and Replace:

a. A single computer USAGE license. The user purchases ONE license
to USE the Advanced Find and Replace on ONE computer.

b. A Multiple (Professional) USAGE license. The user purchases a number of
USAGE licenses for use, by the purchaser, the purchaser's employees or
acredited agents, on the same number of computers.

c. A SITE USAGE license. The user purchases a site USAGE license,
authorising the USE of Advanced Find and Replace, by the purchaser,
the purchaser's employees or acredited agents, on an unlimited number
of computers at the same physical SITE location. This SITE location would
normally be defined as a single building, but could be considered
to be a number of buildings within the same, general, geographical
location, such as an industrial estate or small town.

d. A WORLD USAGE license. The user purchases a WORLD USAGE license,
authorising the USE of Advanced Find and Replace, by the purchaser,
the purchaser's employees or acredited agents, on an unlimited number
of computers at any location in the world.

Governing Law
-----------------------------------------------------------------------
This agreement shall be governed by the laws of France and
corresponding international laws.

Disclaimer of Warranty
-----------------------------------------------------------------------
THIS SOFTWARE AND THE ACCOMPANYING FILES ARE SOLD "AS IS" AND
WITHOUT WARRANTIES AS TO PERFORMANCE OR MERCHANTABILITY OR ANY
OTHER WARRANTIES WHETHER EXPRESSED OR IMPLIED. Because of the
various hardware and software environments into which Advanced
Find and Replace may be put, NO WARRANTY OF FITNESS FOR A PARTICULAR
PURPOSE IS OFFERED.

The user must assume the entire risk of using the program. ANY
LIABILITY OF THE SELLER WILL BE LIMITED EXCLUSIVELY TO PRODUCT
REPLACEMENT OR REFUND OF PURCHASE PRICE.

Evaluation and Registration
-----------------------------------------------------------------------
This is not free software. Subject to the terms below, you are
hereby licensed to use this software for evaluation purposes
without charge for a period of 21 days. If you use this software
after the 21 days evaluation period a registration fee of $29.99 is
required for personal use and $39.99 for professional use. Quote for
site and world licenses are available by request.
Payments must be in US dollars or corresponding amount
in EURO and made by Abacre registration services (RegNow). When payment
is received you will be sent a registration key and you should enter the key
in Help|Register dialog. After that your copy of Advanced Find and Replace
will be the Registered Version.

Upgrade policy
-----------------------------------------------------------------------
Once registered you may freely upgrade the software within minor
versions. For example, v2.3 into v2.4.

Upgrading to a new major version of a program (for example, 2.x into
3.x) requires an upgrade license. The upgrade fee will normally be 50%
of the first time purchased license. Exact upgrade fee is a subject to
change.

Intellectual Property Rights
-----------------------------------------------------------------------
The Software and any copies that you are authorized by Abacre to make
are the intellectual property of and are owned by Abacre Limited. The
structure, organization and code of the Software are the valuable
trade secrets and confidential information of Abacre Limited. The
Software is protected by copyright, including without limitation by
Copyright Law of France, international treaty provisions and
applicable laws in the country in which it is being Used. Any copies
that you are permitted to make pursuant to this Agreement must contain
the same copyright and other proprietary notices that appear on or in
the Software. You agree not to reverse engineer, decompile,
disassemble or otherwise attempt to discover the source code of the
Software. Trademarks shall be used in accordance
with accepted trademark practice, including identification of
trademarks owners' names. Trademarks can only be used to identify
printed output produced by the Software and such use of any trademark
does not give you any rights of ownership in that trademark. Except as
expressly stated herein, this Agreement does not grant you any
intellectual property rights in the Software and all rights not
expressly granted are reserved by Abacre.

Distribution
-----------------------------------------------------------------------
Provided that you verify that you are distributing the evaluation
version you are hereby licensed to make as many copies of the
evaluation version of this software and documentation as you wish;
give exact copies of the original evaluation version to anyone;
and distribute the evaluation version of the software and documentation
in its unmodified form via electronic means. There is no charge for
any of the above.

You are specifically prohibited from charging, or requesting
donations, for any such copies, however made; and from
distributing the software and/or documentation with other products
(commercial or otherwise) without prior written permission.

free or paid phone support.
